When created by special act, the charter consists of the act itself construed in the light of and subject to any general laws applicable, supplemented by the articles executed by the corporators, and by other charters or statutes made a part of their charter. When organized under general corporation law, the charter consists of the law under which it is organized, and of the articles or certificate of the association adopted or issued in pursuance of the law. 71. Are the by-laws of a corporation a part of its charter? By-laws merely affect the management of its business and control its officers and agents. They constitute no part of its charter, and can neither add to nor detract from its powers. (Clark, 454 et seq.) 72. What is the cardinal rule of statutory construction? That the intention of a legislature must govern, and is applied to special or general acts of incorporation just as to any other statute. If there is a doubt as to the intention, it is to be construed most strongly against the corporation, and in favor of the public. 73-What is the general rule of construction where enumerated powers are conferred upon a corporation? That all other powers than those enumerated and such incidental powers as are reasonably necessary to a proper exercise of those granted, are excluded or withheld.
