The author examens and evaluates the interdependencies between the wording of a MAC-Clause and the resolution of related conflicts whilst considering the importance of transaction security to the parties. German description: Der Private-Equity-Markt erlebte in den vergangenen Jahren einen signifikanten Aufschwung. Gleichzeitig erschuttern Krisen und Kriege die Weltwirtschaft mit zunehmender Regelmassigkeit. Die sog. MAC-Klausel dient der Risikoverteilung in Unternehmenskaufvertragen fur daraus resultierende wesentliche nachteilige Veranderungen.
