In Europa zeigt sich in den letzten Jahren ein stetiges Wachstum der Kreditvergabe zur Finanzierung von LBOs, das mit 116 Mrd. USD im Jahr 2006 ein betr???chtliches Volumen erreichte. Auch das verwaltete Fondverm???gen ist in den letzten Jahren in allen L???ndern stark angewachsen. Auf der Suche nach geeigneten Investitionsobjekten steigt damit auch die Wahrscheinlichkeit von fremdfinanzierten ???bernahmen. Gr???nde f???r die Zunahme sind die g???nstigen ???konomischen Rahmenbedingungen mit stetigem Wirtschaftswachstum, niedriger Inflation, sowie spezielle Finanzierungsstrukturen und niedrigem Zinssatz. Die Nachfrage nach renditetr???chtigen Anlagen erh???ht die Risikoneigung der Anleger und sorgt f???r hohe Mittelzufl???sse der LBO-Fonds. Der starke Wettbewerbsdruck unter den Banken f???hrt zu g???nstigen Kreditkonditionen. ???bernahmen mit immer gr??????eren Fremdkapitalanteilen werden somit m???glich, die auch vor LBOs gro???er Industrieunternehmen des Investmentbereichs nicht halt machen. Um die Bondholder vor diesen Gefahren zu sch???tzen, erlangen Schutzklauseln und Auflagen zur Bonit???tserhaltung (sog. Covenants) in den Anleihebedingungen eine immer gr??????ere Bedeutung. Investoren verweigern zunehmend den Kauf von Anleihen ohne einen Anlegerschutz in Form einer Change of Control-Klausel.
